By accessing or using CircuitPro website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Service Description

CircuitPro provides professional PCB design, manufacturing, and assembly services. Our services include but are not limited to:

• PCB design and layout services
• PCB prototyping and volume manufacturing
• Component procurement and assembly services
• Technical consultation and support
• Related software tools and services

3. Account Registration

To use certain services, you may need to register an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Be responsible for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account
• Ensure that you log out from your account to protect its security

4. Intellectual Property

Customer Intellectual Property: You retain all ownership and intellectual property rights to all design files, specifications, and other materials submitted to us.

CircuitPro Intellectual Property: Our website, services, and all related content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are the property of CircuitPro or its licensors and are protected by copyright, trademark, and other laws.

5. User Conduct

When using our services, you agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property or other rights of others
• Upload or transmit any viruses, malicious code, or other harmful content
• Interfere with or disrupt the security or proper functioning of our services
• Attempt to gain unauthorized access to our systems or networks
• Use our services for any illegal or unauthorized purpose

6. Orders and Payments

Quotes and Orders: All quotes are based on submitted design files and specifications. Orders are confirmed upon receipt of full payment or agreed deposit.

Price Changes: We reserve the right to change prices at any time, but confirmed orders will not be affected.

Payment Terms: Payment terms will be specified upon order confirmation. Late payments may result in late fees or service suspension.

7. Delivery and Timelines

Delivery Times: Delivery schedules are estimates and may vary due to design complexity, material availability, and other factors.

Delays: We are not responsible for delays caused by force majeure, supplier issues, or other circumstances beyond our reasonable control.

Acceptance: You should inspect products within a reasonable time after receipt. Any defects or non-conformities should be reported immediately.

8. Returns and Refund Policy

Custom Products: Since PCBs are custom products, returns are generally not accepted unless the product has manufacturing defects.

Defective Products: If a product has manufacturing defects, we will repair, replace, or refund after verification.

Order Cancellation: Once an order enters the production phase, it may not be cancellable or refundable.

9. Limitation of Liability

To the maximum extent permitted by law, CircuitPro and its affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data loss, or business interruption
• Any damages resulting from the use or inability to use our services

Our total liability shall not exceed the amount you paid to us for the services giving rise to the claim.

10. Warranties and Disclaimers

Our services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the services will be uninterrupted, timely, secure, or error-free.

11. Indemnification

You agree to indemnify, defend, and hold harmless CircuitPro and its affiliates from and against any and all claims, liabilities, damages, losses, and expenses arising from:

• Your use of our services
• Your violation of these Terms of Service
• Your infringement of any third-party rights

12. Termination

We may terminate or suspend your account and access at any time for any reason, including but not limited to violation of these Terms of Service.

Upon termination, your right to access our services will immediately cease, and the provisions of these terms that by their nature should survive termination shall survive.

13. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of China, without regard to its conflict of law principles.

Any dispute arising from these terms or the services shall be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the competent court for resolution.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. If we make material changes, we will post a notice on our website. Your continued use of our services constitutes your acceptance of the revised terms.

15. General Terms

Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment: You may not assign these terms or any rights without our explicit written consent. We may assign these terms without your consent.

Entire Agreement: These terms constitute the entire agreement between you and us and supersede all prior or contemporaneous oral or written agreements.
